Terms and Conditions of Sale & Export

Bit Master International – Global B2B Equestrian Manufacturing

These Terms and Conditions constitute a legally binding commercial agreement between Bit Master International ("Manufacturer," "Exporter," "We," or "Us") and the purchasing entity ("Buyer," "Distributor," or "Client"). By requesting prototypes, placing bulk orders, or engaging in B2B procurement with Bit Master International, the Buyer agrees to the following terms governing the manufacture, sale, and international export of equestrian hardware and accessories.

1. OEM Manufacturing & Prototype Sampling

Bit Master International operates as a direct-to-distributor OEM (Original Equipment Manufacturer) facility. We welcome custom tech packs, CAD designs, and private-label requests.

  • Sampling Lead Time: Standard prototype and sampling production time is 1 to 2 weeks, depending on the complexity of the tooling, CNC machining, and specialized metallurgy required.

  • Sample Costs: Buyers are responsible for the cost of prototype development, custom molds, and international courier freight (e.g., DHL, FedEx) for samples. Sample costs may be credited toward the final commercial invoice upon the placement of a bulk production order meeting our Minimum Order Quantity (MOQ).

  • Approval: Full-scale bulk production will only commence once the Buyer has provided written approval of the physical prototype or photographic/video evidence of the sample.

2. Bulk Orders & Minimum Order Quantities (MOQ)

As a high-capacity factory, all orders are subject to Minimum Order Quantities (MOQs) specific to the product category (e.g., stainless steel bits, leather goods, farrier tools).

  • Orders are considered binding once a Proforma Invoice (PI) is issued by Bit Master International and the initial deposit is received.

  • Changes to technical specifications, materials, or quantities after production has commenced will result in delays and additional re-tooling surcharges.

3. Pricing & Payment Terms

All quotes and invoices are issued in United States Dollars (USD) unless otherwise formally agreed upon.

  • Standard Terms: We require a standard 50% advance deposit via Telegraphic Transfer (T/T) to initiate raw material procurement and production scheduling. The remaining 50% balance is due upon completion of the order, prior to final dispatch and the release of the Bill of Lading (B/L).

  • Letter of Credit (L/C): For high-volume contract orders, Irrevocable Letters of Credit at Sight may be accepted upon prior approval from our financial department.

  • Bank Charges: All international banking fees, intermediary bank charges, and currency conversion costs are the sole responsibility of the Buyer.

4. Shipping, Export Logistics & Incoterms

Bit Master International exports globally from Sialkot, Pakistan. We adhere strictly to standard International Commercial Terms (Incoterms 2020).

  • Freight Quotations: We can provide commercial quotes based on Ex Works (EXW), Free On Board (FOB), Cost and Freight (CFR), or Cost, Insurance, and Freight (CIF) terms via sea or air freight.

  • Customs & Duties: The Buyer is acting as the Importer of Record in their respective destination country. Bit Master International is not liable for destination country import tariffs, VAT, customs clearance delays, or port storage fees.

  • Lead Times: Quoted production lead times denote the date the goods leave our factory floor. Transit times vary by freight method and destination port.

5. Quality Assurance & Claims

We maintain strict quality control and metallurgical testing protocols throughout the production cycle.

  • Inspection: The Buyer has the right to appoint a third-party inspection agency (e.g., SGS) at our Sialkot facility prior to dispatch, at the Buyer’s expense.

  • Defect Claims: Any claims regarding manufacturing defects, material discrepancies, or shortages must be reported to our export team in writing within 14 days of the consignment arriving at the destination port. Claims must be accompanied by detailed photographic or video evidence.

  • Resolution: Bit Master International reserves the right to resolve verified manufacturing defects via proportional credit notes on future orders or the provision of replacement units in subsequent shipments.

6. Intellectual Property & Confidentiality

Bit Master International respects the proprietary designs of our B2B partners.

  • Client IP: Any CAD files, blueprints, or proprietary tech packs provided by the Buyer for OEM manufacturing remain the exclusive intellectual property of the Buyer. We will not distribute, replicate, or sell your private-label designs to third-party competitors.

  • Factory IP: Standard catalog designs, proprietary metallurgical alloys, and tooling techniques developed internally by Bit Master International remain our exclusive intellectual property.

7. Force Majeure

Bit Master International shall not be held liable for production delays, failure to deliver, or breach of contract resulting from circumstances beyond our reasonable commercial control. This includes, but is not limited to, acts of God, global pandemics, severe supply chain disruptions, raw material shortages, government embargos, port strikes, or extreme weather events.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the commercial laws of Pakistan. Any international trade disputes that cannot be resolved amicably through mutual negotiation shall be subject to the exclusive jurisdiction of the commercial courts in Sialkot, Pakistan.
